Tinavi Medical to Acquire 62% Stake in Shanghai Orthopedics; Trading to Resume on 30th

Bot Telegraph, July 29 – Tianzhihang (688277) has disclosed a major asset restructuring plan. The company intends to acquire a 62% stake in Shanghai MicroPort Orthopedics Medical Technology Co., Ltd. (abbreviated as “Shanghai Orthopedics”) from five shareholders, including Suzhou MicroPort Orthopedics (Group) Co., Ltd., by issuing shares, while simultaneously raising supporting funds. The specific transaction price has not yet been determined.

Shanghai Orthopedics is primarily engaged in the research, development, production, and sales of joint implant products such as knee prostheses and hip prostheses. Its core subsidiary and production base are located in the United States, with subsidiaries established in multiple countries and regions, including Europe and Japan, forming a mature overseas sales network.

Tianzhihang stated that upon completion of this transaction, the company will complement its orthopedic implant product portfolio, further enhancing its integrated “robot + implant” business layout. Additionally, the company plans to leverage Shanghai Orthopedics’ production and commercialization systems in markets such as the United States, Europe, and Japan to accelerate the overseas expansion of its orthopedic surgical robot products.
